Terms of Service

1. Acceptance
By downloading, installing, or using any Kaizen DSP software (including Choroboros and any future products), or by using our websites, signup forms, or support channels, you agree to these Terms of Service. If you do not agree, do not use our software or services.
2. Seller of record
Kaizen DSP is a brand of Kaizen Strategic AI Inc., a corporation registered in British Columbia, Canada. All purchases of Kaizen DSP commercial products are sold through Paddle.com Market Ltd as the Merchant of Record. Paddle handles billing, payment processing, fraud prevention, sales tax / VAT / GST collection and remittance, receipts, and chargebacks. Paddle's checkout buyer terms and privacy policy apply to your transaction in addition to these terms.
3. Scope
These terms apply to Kaizen DSP as a brand and to all current and future Kaizen DSP products, websites, and services. References to “the software” or “the product” include any Kaizen DSP software you use under these terms.
4. License grant
For paid commercial products, Kaizen DSP grants you a perpetual, single-user, non-transferable license to use the software in accordance with the license key and documentation provided. The license is tied to you as the purchaser; you may not reassign, resell, or sublicense it without our written consent. You may install the software on machines you use for your own work.
Formats and copy protection. VST3 and AU builds do not require iLok, a hardware dongle, or online activation. Pro Tools support is planned for a later release and may require PACE/iLok.
Open-source build. The free open-source Choroboros build is licensed under its own open-source license as published in the GitHub repository. The commercial license granted in these terms applies only to the commercial build and its commercial-only features, including Create and custom engine workflows where enabled.
5. Payment and billing
Purchases and presales are processed by Paddle in their capacity as Merchant of Record (see Section 2). Prices shown at checkout are inclusive of any applicable taxes that Paddle is required to collect for your jurisdiction. After a successful purchase or presale, Paddle notifies Kaizen DSP so we can deliver receipt, license, and product access information by email.
6. Refund policy
You may request a refund within 30 days of purchase for any reason. The first 14 days are no-questions-asked. After day 14 we will ask what the issue is; legitimate technical problems are honoured. Refunds are processed by Paddle within 5 business days to your original payment method.

7. Beta software
Beta releases (including Choroboros during its public beta) were provided “as is” without warranty. We did not guarantee that beta software would be error-free, that it would become a commercial product, or that any particular upgrade path would exist.
Perpetual access to beta copies. Anyone who obtained a beta download before the beta close date (April 30, 2026) may keep and use that copy indefinitely. Commercial launch does not revoke or limit that access; we do not require you to purchase a commercial license to continue using a beta build you already have.
Ongoing support and updates for beta builds are not guaranteed. Participation in the beta was at your own risk.
8. Creator exports
Commercial Kaizen DSP plugins may include export or sharing features for user-created content. By using those features, you agree we may process the data necessary to provide the export and maintain creator attribution as described in our Privacy Policy. You must not use export features to create content that infringes others' rights or contains malicious or illegal material.
Export availability may vary by product, version, and platform. If a feature is not shown in the product, it is not part of that release.
9. Acceptable use
You may not: redistribute or resell the software; reverse- engineer or decompile it (except as permitted by applicable law); use it to develop a competing chorus plugin; share your license key with others; or use the software in violation of applicable laws.
10. Warranty disclaimer
The software is provided “as is” without warranty of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, the foregoing disclaimer applies to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, Kaizen Strategic AI Inc. and its officers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business opportunity, arising from your use of our software or services. Our total liability for any claim related to a paid product is limited to the amount you paid for that product in the twelve months before the claim.
12. Governing law
These terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-laws principles. The courts of British Columbia have exclusive jurisdiction over any disputes arising from or relating to these terms, except where mandatory consumer protection laws of your jurisdiction provide otherwise.
13. Changes to these terms
We may update these terms from time to time. The “Last updated” date at the top will change. Continued use of our software or services after changes constitutes acceptance of the updated terms. For material changes affecting paid licenses, we will use reasonable means to notify you (email or in-product notice).
